Referral Partner Terms
Please read these terms before you tick the agreement box on your application.
1. About these terms
These terms apply between Site Matrix ("we", "us") and the business or person approved as a Referral Partner ("you").
You accept these terms when you tick the agreement box and sign the Referral Partner Application. They apply once we confirm your application is approved.
Approved Specialist Partners who refer clients to us are also covered by these terms for those referrals.
2. Definitions
Referred Client: a person or business you introduce to us who is not already a Site Matrix client or prospect.
Referral: your introduction of a Referred Client, registered with us under clause 3.
Job: any paid work we perform for a Referred Client under a quote or order they accept.
Job Value: the amount the Referred Client actually pays us for a Job, excluding GST, third-party costs passed through at cost (such as access equipment, permits or traffic management), and any refunds or credits.
Referral Fee: the fee we pay you under clause 4.
3. Valid referrals
To register a Referral, send us the client's name, contact details and a short description of what they need, by email or through our referral form.
A Referral is valid only if: (a) the client is new to Site Matrix: not a current or past client, and not someone we were already talking to or quoting in the previous 12 months; (b) you registered the Referral before we first contacted the client about the work; and (c) the client accepts a quote or order for their first Job within 90 days of registration.
We will confirm in writing, within 5 business days, whether a Referral is accepted. If two partners refer the same client, the first to register it is credited.
We may decline any Referral or Job, for example if the work is outside our services or the client fails our credit or safety checks. No fee is payable on work we do not perform.
4. Referral fee
For each Job we complete for a Referred Client, we pay you a Referral Fee of 10% of the Job Value.
Repeat work earns a fee too. Further Jobs from the same Referred Client earn the same 10% fee for 12 months from the date of their first Job.
If GST applies, we add GST to the fee where you are GST-registered and give us a valid tax invoice.
No other payment, commission or expense is payable to you unless we agree to it in writing.
5. When and how we pay
A Referral Fee is earned only once the Referred Client has paid us for the Job in full. Part payments earn a fee on the amount received.
At the end of each month we send you a statement of fees earned. You then invoice us (a tax invoice if you are GST-registered), and we pay by bank transfer within 14 days of receiving your invoice.
You must give us a valid ABN. If you do not, we may have to withhold tax from the payment as required by law.
If a client later receives a refund, credit or chargeback for a Job, we may deduct the matching Referral Fee from future payments or ask you to repay it.
You are responsible for your own tax on the fees you receive.
6. How you represent Site Matrix
No quotes or promises without our approval. You must not quote prices, timeframes, scope or results, or make any promise on our behalf, unless we have approved it in writing first.
You may describe our services using the information and materials we give you. You may use our name and logo only as we approve, and must stop when this agreement ends.
You must not say or imply that you are our employee, agent or representative, or that you can bind us to any contract.
Disclosure. You are responsible for telling your clients that you may receive a Referral Fee from us where your industry rules, licence or professional duties require it (for example as an insurance broker, real estate agent or property manager).
You must deal with clients honestly, and only pass us a client's details with their permission.
7. General
Relationship. You are an independent business. Nothing in these terms creates employment, partnership, agency or exclusivity. You can refer clients to others, and we can work with other referrers.
Privacy and confidentiality. Each of us will handle client personal information under the Privacy Act 1988 (Cth), and keep the other's pricing and client information confidential.
Changes. We may change these terms with 30 days' written notice. Changes do not affect fees on Referrals already accepted.
Ending. Either of us may end this agreement with 30 days' written notice. We may end it immediately if you breach clause 6. After it ends, we still pay fees on Referrals accepted beforehand, for Jobs completed within the periods in clauses 3 and 4. If we end it for your breach, no further fees are payable.
Liability. We are responsible for the work we deliver to clients. You are not liable for our work, and we are not liable for statements you make that we did not approve.
Law. These terms are governed by the laws of Victoria, Australia.
